Software licence

End User Licence Agreement

This EULA governs CogentSpec software installed or connected on a desktop device, including distributed plugins, bridges, and supporting components.

Effective date and version

Effective 5 September 2026. Account acceptance version: 2026-09-05.

Licence grant

Subject to an applicable CogentSpec plan and your compliance with this EULA, you receive a limited, non-exclusive, non-transferable right to install and use the software for its intended purpose during the licence period.

Permitted use

You may use the software on authorised devices and for the number of users or seats covered by your plan. You may make reasonable backup copies where needed for lawful installation and recovery.

Restrictions

You must not sell, sublicense, distribute, rent, circumvent licence controls, interfere with security protections, or use the software unlawfully. This does not restrict rights that applicable law says cannot be excluded.

Projects and third-party components

You retain responsibility for your own projects and inputs. Open-source and third-party components may be governed by their own licence notices, which continue to apply.

Local operations and approval

When you explicitly approve the relevant action, CogentSpec components may run local tools, install or remove approved AI models, create or change project files, run build and test commands, or permanently delete an approved project folder. Review the exact target and requested action, keep appropriate backups, and do not approve an operation you do not understand or intend.

Updates and connectivity

The software may receive updates for security, compatibility, and functionality. Account, licence, device-authorisation, and hosted features may require an internet connection.

Warranty disclaimer

To the extent permitted by applicable law, the software is provided “as is” and “as available”. CogentSpec does not promise that every generated result, integration, or third-party service will be uninterrupted, error-free, or suitable for a particular production use.

Limitation of liability

Nothing in this EULA excludes liability that cannot legally be excluded. Subject to applicable law, CogentSpec is not responsible for indirect or consequential loss, loss of profits, or loss of data. You are responsible for reviewing outputs and maintaining appropriate backups and release controls.

Termination

This licence ends when the applicable licence expires or if you materially breach this EULA. On termination, you must stop using and remove the software unless applicable law or another agreement permits continued use.
